1. Ownership and Operation

The Alive Foundation Inc. (“we,” “our,” “us”), doing business as MorningCoach® (morningcoach.com), owns and operates this website (the “Site”), including any other websites, services, products, or communications owned and operated by The Alive Foundation Inc. References to The Alive Foundation Inc. include its employees, officers, directors, investors, agents, consultants, assignees, affiliates, partners, contractors, attorneys, accountants, advertisers, and all other individuals and organizations providing services on behalf of The Alive Foundation Inc.

By using the Site, you (“you,” “your,” “user”) agree to these Terms and Conditions of Use (the “Agreement”) and all future modifications. We may modify this Agreement at any time, and your continued use of the Site indicates acceptance of any changes.

2. User Responsibilities

• Provide true, accurate, current, and complete information during registration.
• Keep your information updated.
• Accept that providing false or incomplete information may result in suspension or termination of your account.

3. Product Purchases & Billing

When purchasing from The Alive Foundation Inc., you authorize us to:

• Charge your payment method for the amount listed for the products/services purchased.
• For recurring memberships (monthly, annual, or other), continue to charge your payment method according to the agreed billing cycle until you cancel.
• Accept payments via credit card, debit card, or other approved payment methods.

You are personally responsible for all charges incurred through your use of the Site.

4. Digital Content & Access

• Digital downloads are available only during your paid access period.
• You are responsible for downloading and storing your purchases within that period.
• Re-downloads after your paid access ends will not be provided.

5. Cancellation Policy

• You may cancel your recurring subscription at any time.
• 72-hour notice is required before your next billing date for cancellation to take effect in time.
• Cancellations made with less than 72 hours’ notice may result in one additional billing cycle.
• Upon cancellation, all membership access and materials are revoked immediately.
• No partial-month or pro-rated refunds will be issued.

6. Non-Compete

From the start of your membership and for 6 months after termination, you agree not to teach, coach, share, sell, or license any MorningCoach® systems or processes, including but not limited to Intelligent Life Design™, Get It Done – NOW!™, Sacred 6™, or any membership-level ideas.

7. Refund Policy

MorningCoach® memberships and programs are coaching and personal development services focused on productivity, education, and support. Due to the nature of coaching and the immediate access to member resources, all sales are final. We do not offer refunds or credits for any payments made, including partial periods of membership, unused services, or dissatisfaction with the program content. By completing your purchase, you acknowledge and agree that no refunds will be provided under any circumstances.

8. Intellectual Property

All site content, materials, and software are the property of The Alive Foundation Inc. or its licensors. You may use materials only for personal, non-commercial purposes and may not modify or redistribute without written permission.

9. Privacy

Your use of the Site is subject to our Privacy Policy, available on the Site. By using the Site, you consent to our collection and use of your personal information as outlined in the Privacy Policy.

10. Limitation of Liability

We are not liable for:

• Content of any communication sent by you or third parties.
• Content of external sites linked to from the Site.
• Damages caused by errors, interruptions, defects, viruses, or technical failures.
• Any direct, indirect, incidental, or consequential damages from your use or inability to use the Site.

Your sole remedy is to stop using the Site.

11. Indemnification

You agree to indemnify and hold harmless The Alive Foundation Inc., its directors, officers, employees, and agents from all claims, damages, or expenses arising from your use of the Site or breach of this Agreement.

12. Disclaimer of Warranties

All Site content, products, and services are provided “AS IS” without warranties of any kind. We do not guarantee uninterrupted or error-free service, correction of defects, or absence of harmful components.

13. Termination

We may terminate this Agreement and your account at any time. You may terminate by closing your account and paying any outstanding balance.

14. Jurisdiction

This Agreement is governed by Florida law. All disputes shall be resolved exclusively in the courts of Okaloosa County, Florida. The losing party in any dispute shall pay all reasonable attorney’s fees and costs.

15. Miscellaneous

This Agreement constitutes the entire agreement between you and The Alive Foundation Inc. If any part is found unenforceable, the rest remains in effect. We may assign this Agreement at any time.
